Steven R. Block

With more than 40 years of legal experience, Steve has an established legacy in practicing corporate and securities law, with an emphasis on mergers and acquisitions and all forms of corporate finance. Steve's legal advice is never given in a vacuum. Representative Work

Numerous dispositions for a publicly-traded Fortune 500 client, including the cross-border sale of a jointly-owned nuclear energy facility.
Numerous acquisitions for a publicly-traded Fortune 500 building products company.
Drafted and negotiated transaction and equityholder/clubbing agreements for private equity deals ranging in size from $3M to $1.2B.  Deep industry experience in the fields of healthcare, financial services and manufacturing and distribution.
Significant experience drafting and negotiating joint venture agreements and navigating governance and operational issues between entities with conflicting interests, including for-proft/non-profit arrangements in the healthcare space.
Extensive experience working with company management in the preparation of 10-Ks, 10-Qs, Proxy Statements, 8-Ks and other SEC filings.
Counseling on shareholder activism, governance disputes, succession planning and the preparation of poison pills.

General day-to-day counseling experience includes representing both individuals and entities in drafting and negotiating critical commercial contracts, debt and convertible security financing arrangements, employment agreements and cash and equity incentive awards.
Mr. Block has represented both licensors and licensees in licenses for inventions in the fields of biotechnology, software, medical devices, materials and equipment. Mr. Block currently represents the Technology Transfer Offices of Emory University and Georgia Tech University in licensing transactions.
Mr. Block represented the company that built the first ethanol plant in the State of Texas and negotiated all of the engineering, procurement and construction, financing, off take, hedging and other agreements related thereto.
Mr. Block has also represented several companies in other ethanol plant construction projects as well as other alternative energy providers.
Mr. Block has organized many private equity, venture capital and hedge funds over the past 12 years.
